Overview

Role Summary:

BMTX, a fast growing fin-tech company, is seeking a Senior Lawyer/ General Counsel to jump into a lean and nimble team and handle a broad range of commercial legal and risk matters across the entire organization. Since we operate to support our bank partners in a regulated space, you will oversee a wide array of complex legal matters including consumer protection, privacy and data protection, IP, and tax. This position is unique because it offers the opportunity to get exposed to issues that have never existed before and work on diverse tasks such as contract drafting and negotiation, escalated customer situations, and a number of projects that will arise as we continue to experience significant national growth. This is a remote position however we would prefer the candidate be located in the Northeast Amtrak corridor area.

Responsibilities

Responsibilities:

  • Represent the firm internally and externally with clients, bank partners, government bodies or other organizations, in court, at depositions or at mediations, typically serving at the most senior level as part of the senior management team.
  • Comfortable in dynamic, fast-paced environments, with an entrepreneurial spirit and willingness to roll up your sleeves and do the work.
  • Excellent problem solving and communication skills that allow you to make clear, pragmatic recommendations.
  • Excited by our mission to positively change the financial path of every hard-working American by simplifying and automating the banking and money movement ecosystem.
  • Experience in providing legal counsel for the development and launch of consumer-facing products or services while identifying business risks and requirements resulting from evolving laws and regulations; prior work with technology companies preferred.
  • Exposure to and familiarity with the legal framework governing data security in the United States and its territories, including Gramm Leach Bliley and state data breach notification laws.
  • Experience working on revenue-generating cloud services, software, and/or other technology contracts and overseeing deals from inception to close while managing risk and aiding the sales team in moving deals.
  • Ability to work autonomously on multiple deals with a sense of urgency.
  • Outstanding cross-functional collaboration, communication, and relationship-building skills.
  • Adept at quickly building rapport and becoming a trusted adviser with numerous internal stakeholders.
  • Negotiate and draft software and services related agreements with clients and prospects; subcontracts and other related documents with services partners and introducers; review and advise on bids in competitive tenders.
  • Liaise with and supervise external counsel, as needed, for outsourced matters.
  • Perform legal/risk due diligence for acquisitions; management and supervision of corporate transactions and providing related advice when applicable.
  • Oversee the development of corporate legal activities, including the creation of policies, procedures and programs, including those applicable to public companies.
  • Supervise and oversee legal team with the handling of civil and criminal subpoenas, writs of execution and levies.

Qualifications

Qualifications:

 

  • Law Degree from an accredited law school and admitted to practice law in at least one state.
  • Minimum 10 years’ experience in the practice of law, preferably 3 years at a Fintech oriented financial services company.
  • 2 to 5 years of experience drafting, negotiating, and advising on a variety of commercial deals such as cloud software sales, reseller agreements, and distribution partnerships
  • Experience negotiating commercial contracts for or against financial institutions is a plus
  • Experience with privacy, data security, and intellectual property law
  • Experience with data licensing issues is a plus
  • Excellent writing, oral communication, and organizational skills
  • Eager to learn about new and emerging technologies
  • Comfortable navigating complicated and nuanced legal issues
  • An engineering or computer science degree is a plus
  • Substantive knowledge and experience in commercial litigation management and strategy, including the management and oversight of outside counsel.
  • Experience in handling a variety of employment law and human resources matters.
  • Solid organization skills and the ability to manage multiple and competing priorities while achieving superior results.
  • The ability to communicate clearly, both verbally and in writing, at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons in the organization.
  • Commitment to exemplifying the highest integrity and professional business standards, while exercising the utmost discretion in managing sensitive information.
  • Strong interpersonal skills with the ability to work independently and as part of a team.
